Terms of Service

These Terms ("Terms") govern the provision of services by GB WP 1 Ltd to clients and users. By engaging our services, requesting proposals, or using this website you agree to be bound by these Terms. If you do not agree, please do not use our services or share any personal data. These Terms work together with any written proposal, quotation or contract we provide; the contract terms take priority where expressly agreed in writing.

Services, proposals and deliverables

Services are provided according to a written proposal or quotation which sets out scope, timelines, fees and deliverables. Proposals are valid for the period stated on the document and accepted by the client when the client signs the proposal or confirms acceptance by email. We undertake to deliver services with reasonable skill and care in line with published industry standards. Deliverables are defined in the relevant proposal and may include appraisal reports, edited manuscripts, design concepts, proof PDFs, EPUB files, and metadata packs. Change requests beyond the agreed scope may be subject to additional fees and revised timelines; we document such changes and seek client approval before proceeding.

Fees, payment and refunds

Fees are quoted in the contract currency and may require a non-refundable deposit to commence work. The proposal will specify payment milestones where applicable. Full payment terms, including due dates, invoicing schedule and accepted payment methods, are included in the proposal. Invoices unpaid after their due date may incur interest or suspension of services. Refunds are considered only in limited circumstances and at our discretion when deliverables have been materially delayed or where performance is demonstrably deficient relative to agreed scope; the remedies set out in these Terms will be the client's sole remedy. Taxes, duties and third-party costs (for example ISBN registration or paid stock imagery) are the client’s responsibility unless otherwise stated.

Intellectual property

Authors retain ownership of their manuscripts and underlying content. GB WP 1 grants the client a licence to use design and production deliverables for the purposes set out in the proposal, including distribution, marketing and resale, subject to full payment. We retain the right to display non-confidential project examples in our portfolio and marketing materials unless a separate confidentiality agreement is signed. For work that uses third-party materials (for example stock photography or fonts), the client must obtain the necessary licences or GB WP 1 will procure licences on behalf of the client and invoice accordingly. Any bespoke templates, systems or tooling developed by GB WP 1 remain our intellectual property, though we will license their use to the client as required for delivery of services.

Liability, warranties and governing law

We provide services using reasonable care and skill but do not warrant specific market outcomes. To the fullest extent permitted by law our liability for losses arising from our services is limited to direct losses up to the total fees paid for the specific engagement. We exclude liability for indirect, consequential losses, loss of profits, or loss of opportunity. Clients warrant that they have the right to submit material for editing and production and indemnify GB WP 1 against claims arising from third-party intellectual property rights. These Terms are governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of English courts for disputes. We encourage attempts at amicable resolution initially; many disputes can be resolved through dialogue and a clarifying exchange of information.

Changes, termination and contact

Either party may terminate an agreement in writing if the other party materially breaches the agreed terms and fails to remedy the breach within a reasonable period. On termination the client will pay for completed work and reasonable wind-down costs. We may update these Terms from time to time; material changes will be notified via our website and by email to active clients.
